Challenging Penalties for Controlled Foreign Companies (CFCs): Business Rights and Appeal Strategy

CFC penalty appeals in Ukraine allow a controlling person to challenge fines, additional tax assessments and other sanctions when the tax authority has applied the CFC rules incorrectly or breached the required procedure. Effective defence starts with the decision itself, the filing record and documentary evidence showing what was reported, when it was reported and how control over the foreign company actually operated.

Penalties and sanctions under the CFC rules

Common sanctions arise from failure to notify the tax authority about a CFC, failure to submit a CFC report, or late filing. Penalties can reach hundreds of thousands of hryvnias for each CFC.

Additional financial sanctions may also follow if the authority alleges incomplete profit disclosure, concealed information or errors in the report. Where tax liabilities are understated, the authority may assess additional tax, interest and penalties.

Administrative consequences may apply in individual cases, while intentional tax evasion or knowingly false information may also create criminal-law exposure.

When a penalty can be challenged

Grounds for an appeal may include procedural defects during an audit, lack of proper notice, calculation errors, technical filing failures, objective reasons for missing a deadline or evidence that the controlling person did not act intentionally.

Review the tax decision first

Initial analysis should cover the audit report, tax notice-decision, calculation of the penalty and the legal provisions cited by the authority. This review determines whether the dispute concerns facts, procedure, interpretation of the CFC rules or a combination of these issues.

Administrative appeal

A complaint may be submitted to a higher tax authority with supporting documents, explanations and evidence. Administrative review can be used to request cancellation or amendment of the contested decision before litigation.

Court appeal

If administrative review does not resolve the dispute, the business may apply to an administrative court. Court review focuses on the legality of the authority's actions, compliance with procedure, sufficiency of evidence and whether the alleged violation actually occurred.

Evidence for the defence

Useful evidence includes filing confirmations, electronic receipts, correspondence with the tax authority, financial statements, corporate documents and materials showing the absence of intentional non-compliance.

Business recommendations

Reporting should be prepared before the deadline even where CFC status is uncertain. Filing confirmations, financial records and corporate documents should be retained, and tax notices should be reviewed promptly rather than left unanswered.

Regular internal review of foreign-company ownership and control also reduces the risk of inconsistent reporting across different periods.

CFC dispute strategy should combine timely reporting, documentary evidence and a clear administrative or court appeal position. Early review of the foreign-company structure makes it easier to protect the business from avoidable penalties and tax assessments.
