Collective Investment Institution (CII) and Investment Fund Registration in Ukraine

Collective Investment Institution (CII) registration allows investors to pool capital through a corporate or unit investment fund under Ukrainian securities regulation. Structure selection is important because legal status, asset management, securities issuance and investor rights differ between the available models.

What a Collective Investment Institution Is

A CII can take the form of a corporate investment fund or a unit investment fund. Activity is regulated within the Ukrainian collective-investment framework and supervised by the National Securities and Stock Market Commission (NSSMC).

Funds may also be open-ended, interval or closed-ended. Choice of form and operating model should reflect the investment strategy, redemption mechanics and intended investor base.

1. Define the Fund and Prepare Documentation

The founders determine whether the fund is corporate or unit-based, select the open-ended, interval or closed-ended model and define the asset-management and investment strategy.

Documentation can include the charter where applicable, fund regulations, investment declaration or memorandum and other constituent and operating documents.

A corporate investment fund is registered as a legal entity in the Unified State Register. A unit investment fund follows a different structure because it is managed by an Asset Management Company (AMC) rather than existing as a separate legal entity.

3. Register with the NSSMC

The filing may include constituent documents, information about the AMC and supervisory bodies, internal rules and information concerning assets and the investment strategy.

4. Issue Shares or Investment Certificates

After registration, the structure issues the securities or investment units used to attract investor capital.

5. Open Accounts and Begin Activity

The fund opens the required banking and depository accounts and begins operating according to its investment policy.

CII registration strategy should repeat the complete sequence from structure selection to regulatory registration and securities issuance because each stage determines how the fund can lawfully receive and manage investor capital.
