Controlled Foreign Company (CFC) reporting errors can create penalties, additional tax questions and avoidable compliance work for Ukrainian tax residents. Reliable filing starts with correct identification of the controlling person, timely collection of foreign financial statements and a documented calculation of any CFC profit that must be reported.
1. Late or missing filing
Source material identifies non-filing or late filing as one of the most common breaches and refers to Article 120.7 of the Tax Code of Ukraine. Possible consequences include significant penalties for each unreported CFC, increased attention from the tax authorities and additional audits.
set an internal deadline earlier than the statutory filing date;
use calendar controls and automated reminders;
collect financial statements and corporate documents in advance.
2. Incorrect identification of the controlling person
Control is not limited to direct ownership of more than 50 percent. The source also refers to joint ownership, indirect participation, effective management and the ability to influence decisions or control bank accounts.
review the complete ownership chain;
identify direct, indirect and factual control;
keep corporate documents that explain the ownership structure.
3. Missing financial statements
Reliable financial information from the foreign company is required to prepare the report. Businesses should request statements from the foreign accountant or auditor early, arrange translation where necessary and reconcile the information used for Ukrainian reporting.
4. Ignoring payment and financial-monitoring issues
Transactions between a Ukrainian resident and a CFC may attract bank or financial-monitoring attention. Poorly documented transfers can lead to additional questions, tax assessments or account restrictions.
5. Failure to report CFC profit
Where the controlling person must include part of the CFC profit in a Ukrainian tax return, an omitted amount may lead to additional tax, penalties and interest. Exemptions and the effective foreign tax rate should therefore be reviewed before the filing is finalised.
6. Formal document errors
Incorrect dates, inconsistent details, unauthorised signatures and conflicting information across documents can create problems even where the underlying transaction is genuine. Final review should cover both the report and the supporting file.
CFC filing control should combine ownership analysis, financial statements, tax calculations and proof of submission in one organised file. Early preparation reduces the risk of penalties and makes any later tax authority request substantially easier to answer.
