International freight carriage agreement defines the responsibilities of the carrier, consignor and consignee and provides the contractual framework for delivery time, cargo handling, liability, force majeure and dispute resolution. Clear allocation of these issues is important for logistics businesses because cargo loss, damage or delay can create cross-border claims under both the contract and international transport rules.

International freight transport is a central part of global trade, and the carriage agreement should match the type of transport, shipment documents and international regime applicable to the route.

1. Key Contract Terms

A properly drafted agreement should address:

  • parties to the agreement: carrier, consignor and consignee;

  • subject matter: type of carriage, route and delivery time;

  • conditions for acceptance and handover of cargo;

  • force-majeure circumstances and the procedure for dealing with them;

  • jurisdiction and dispute-resolution procedure.

2. Obligations of the Parties

The agreement should clearly state the obligations of all participants:

  • the carrier undertakes to transport the cargo safely and on time in accordance with the agreement and applicable international rules;

  • the consignor is responsible for correct documentation, preparation of the cargo for transport and payment of transport charges;

  • the consignee must accept the cargo within the agreed period and check it against the shipping documents.

3. Carrier Risk and Liability

Contract drafting should take into account risks connected with damage, loss or delay of cargo.

The carrier may be liable for:

  • damage to or loss of cargo during transport;

  • late delivery;

  • breach of customs rules or international transport requirements.

The agreement may also address limitations of liability where the relevant circumstances include:

  • force majeure such as natural disasters, military action or strikes;

  • incorrect packaging or labelling by the consignor;

  • improper customs clearance attributable to the customer.

  • drafting agreements with reference to the Convention on the Contract for the International Carriage of Goods by Road (CMR), the Customs Convention on the International Transport of Goods under Cover of TIR Carnets (TIR Convention) and the Montreal Convention where relevant;

  • analysis of Ukrainian and European transport rules;

  • legal audit and risk assessment before the transaction;

  • individual contracts adapted to the route and cargo;

  • advice on carrier liability and representation in court.

International carriage contract structure should connect the commercial route with the applicable transport convention, shipping documents and liability regime. Proper drafting reduces uncertainty over who bears the cost when cargo is delayed, damaged, lost or stopped at customs.
