Settlement Agreements in Ukrainian Commercial Court Proceedings

Corporate, Commercial Law and Dispute Resolution · Commercial Disputes, Debt and Bankruptcy

Settlement agreements in commercial court proceedings allow parties to resolve a business dispute without waiting for a final contested judgment. Settlement can reduce litigation time and cost while allowing the parties to define payment, penalties, expenses and other terms themselves.

Commercial disputes do not always have to end with one party winning and the other losing. The source material refers to settlement as a recognised mechanism for resolving commercial disputes and notes that parties may reach agreement at different stages of proceedings, including appeal and cassation, subject to procedural limits.

Terms of a Settlement

A settlement agreement should be made in writing and state the agreed terms clearly. It may provide for a reduction or waiver of penalties, deferred payment, a payment schedule, allocation of court costs and other arrangements that lawfully resolve the dispute.

Where the parties do not agree how to allocate court costs, the applicable procedural rules determine the result. The source material also notes the possibility of seeking return of part of the court fee in the relevant circumstances. Settlement terms must not violate the rights or legitimate interests of third parties.

Negotiation and Documentation

Legal work includes analysing the dispute, assessing the consequences of proposed concessions, communicating with the other party, preparing draft terms and ensuring that the wording can be approved and implemented through the court process.

Mediation and direct negotiations may be used to identify commercially acceptable terms. Repeated review of the payment mechanics, deadlines, security and consequences of breach is useful because settlement value depends on enforceable performance, not only on signing the document.

Performance after Settlement

Support may continue after approval of the settlement to monitor performance and address breaches. This preserves the practical value of the agreement and reduces the risk that the original dispute simply returns in another form.

Commercial settlement strategy should produce written, workable and enforceable terms that resolve the immediate dispute while protecting the parties against uncertainty during implementation.
