CFC (Controlled Foreign Company) status in Ukraine can apply to a foreign legal entity or other foreign arrangement controlled by a Ukrainian resident. Jurisdiction alone does not determine CFC status; ownership, joint control and factual management are central to the analysis.
Basic CFC Test
There are two core elements: the company or arrangement is established outside Ukraine, and a Ukrainian resident exercises the required level of ownership or control.
Foreign Registration
A company can potentially be a CFC whether it is registered in a traditional offshore jurisdiction or in a mainstream business jurisdiction. Examples include Cyprus, Belize, the United Arab Emirates, Panama, Poland, Estonia and the United Kingdom.
Ownership and Factual Control
ownership of more than 50% of the foreign company;
ownership of more than 10% where several Ukrainian residents together own more than 50%;
factual control, including signing documents, making key decisions or directing bank-account activity.
Dormant status does not automatically remove CFC classification. A company with no active trading can still fall within the rules if a Ukrainian resident continues to exercise the relevant control.
Examples
a United Arab Emirates (UAE) company holding real estate for a Ukrainian beneficial owner;
a Cyprus holding company used for international trading by a Ukrainian business owner;
a Bulgarian company registered by a Ukrainian entrepreneur to acquire a vehicle;
a Latvian company with no employees used to maintain bank accounts for a Ukrainian resident.
Structures That May Fall Outside the Definition
The source material identifies foreign companies not controlled by Ukrainian residents, structures ultimately controlled by non-residents and certain funds, trusts or partnerships without Ukrainian-resident control as examples that may fall outside CFC status. Separate tax exemptions should not be confused with absence of CFC status.
Consequences of CFC Status
disclosure of CFC information in the relevant annual tax reporting;
submission of a CFC profit report;
payment of tax on attributable profit where required;
retention of corporate and financial evidence supporting the position.
The source material also describes substantial penalties for non-compliance, including situations where the foreign company generated no profit.
CFC status analysis should be performed before deciding whether reporting or tax is required. Mapping direct ownership, joint ownership and factual control gives foreign-company owners a reliable starting point for Ukrainian CFC compliance.
