Business registration in Ukraine creates the legal framework for commercial operations, ownership, management and taxation. Founders can choose the appropriate business form and organise the registration process around planned activities, corporate structure and future operating needs.

Registration Options

Founders should decide the legal form, filing method and required corporate documents before registration. These choices establish the ownership and governance framework the business will use after incorporation.

How Company Registration Works

The legal framework for company registration includes the Law of Ukraine "On State Registration of Legal Entities and Individual Entrepreneurs" No. 755-IV dated 15 May 2003. Under this legislation, the state registrar is responsible for registering a legal entity in Kyiv. The registrar may be contacted during reception hours at the relevant district state administration or municipal executive authority.

Documents are submitted by the founder or by an officially authorised representative acting under a notarised power of attorney. The required documents may also be sent by post with an inventory of enclosures; however, because these are important corporate documents, personal or professional submission is preferable. We coordinate the registration process so that the founder or representative does not have to spend unnecessary time assembling documents or arranging appointments with the registrar.

Documents Required for Company Registration

To register a company in Kyiv, a complete set of documents must be provided, including:

  • a completed Form 1 registration card approved by Order of the Ministry of Justice No. 3178/5 dated 14 October 2011. The forms may be obtained online or from the registrar's office;

  • the original decision of the authorised body or founders to establish the enterprise, bearing original signatures. A notarised copy may also be provided;

  • constitutional documents in two copies. Depending on the legal form, this may be the company's charter or a foundation agreement, unless otherwise provided under Article 87(2) of the Civil Code;

  • a document confirming the ownership or founder structure.

Constitutional documents should be drafted carefully because they establish the framework for the company's activities. If legal or corporate issues arise, the charter is one of the principal documents used to determine the parties' rights and procedures.

Requirements for Constitutional Documents

These documents are subject to statutory content requirements and should include information such as:

  • the future company's name;

  • the subject matter and purpose of its activities;

  • the reorganisation procedure;

  • methods of forming capital;

  • registered office address;

  • competence and composition of governing bodies;

  • liquidation procedure and other required information.

As to timing, state registration of a new legal entity is completed within three working days from submission of the documents to the registrar. The registrar then returns one copy of the constitutional document to the owner with confirmation that the company has been entered in the register and issues an extract from the Unified State Register.
